FRANK’S NURSERY & CRAFTS, INC., Detroit Michigan (1995 to 1998)
A Michigan-based $600-million specialty retailer with 360 stores in 16 states during this time. Served as the Vice President, General Counsel and Secretary of Frank’s Nursery & Crafts, Inc. and its parent, General Host Corporation (NYSE), with responsibility for all legal affairs of both corporations as well as management of their Law Departments. Directed in-house legal staff and outside special counsel, and advised senior management, during the negotiation, due diligence, execution and closing of a tender offer for the outstanding shares of General Host Corporation, resulting in a change of control (“going private”) of the corporation in December 1997.

DYKEMA GOSSETT PLLC, Detroit, Michigan (1967 to 1994; Partner, 1975 to 1994)
A major Michigan-based, business-oriented general practice law firm. Specialized in mergers and acquisitions, joint ventures and other complex business transactions, public offerings, private placements of stock and debt securities, proxy statements and other SEC-related problems, corporate and healthcare finance and bond counsel to municipal governments.
